For those who are unaware of what this Corp. is please note:
Control of Internet "domain name registration" has passed into
private hands -- with the potential for serious mischief or worse.
"Domain names" are the odd-looking identifying names that are
assigned to individual computer systems that compose the Internet
(logoplex.com, for example).
Through a complex chain of licensing arrangements and corporate
acquisitions, this crucial control over Internet domain names has
passed from the non-profit National Science Foundation to Network
Solutions, Inc. (NSI) of Herndon, VA. Last May, amid growing
public disbelief of establishment media reports about the Oklahoma
City bombing provocation, NSI was purchased by Scientific
Applications International Corporation (SAIC) of San Diego.

Recent Results
Revenues for the fiscal year ended January 31, 1995, were $1.9
billion, a gain of about 13% over last year's $1.67 billion. Net
earnings were about $48 million, about a 16% increase over last year's
net of $41.5 million.
At year end, SAIC's firm order backlog was about $1 billion, a 25%
increase over the previous year's backlog.
This represents the 26th year of continued revenue and earnings
growth, solidifying its position as one of the most successful
employee-owned companies in the U.S.

SAIC TO INVEST IN EUROPEAN TELECOMMUNICATIONS SOFTWARE COMPANIES
(SAN DIEGO, CA) November 9, 1995 -- Science Applications International
Corporation (SAIC) has agreed to purchase, along with existing
management and employees, a majority interest in two European
telecommunications software companies.
One company is Tecsi, a Paris-based supplier of telecommunications
systems, software and systems integration. Founded in 1971, Tecsi has
annual revenues of $37 million and 250 employees. In addition to SAIC
and the management group, France Telecom -- the government-owned
public telephone company -- owns 30% of Tecsi.
The other is Danet, which also supplies telecommunications systems,
software and systems integration. Located in Darmstadt, Germany, Danet
has $40 million in annual revenues and 300 employees. The company was
founded in 1976. The major German communications company Deutsche
Telkom owns 30% of Danet.
SAIC is acquiring its interests in the two firms from GSI of Paris;
terms of the acquisition were not disclosed. The agreement is expected
to close by year-end.
"SAIC is teaming with the seasoned management teams of Tecsi and Danet
to build upon their excellent technical capabilities in the dynamic
and fast-growing European telecommunication markets," said J. Robert
Beyster, SAIC chairman and chief executive officer. "We are especially
pleased to be a partner of France Telecom and Deutsche Telkom, the two
largest telecommunications companies on the continent."
Tecsi and Danet founder and management group chairman Jacques Bentz is
enthused about the relationship with SAIC.
"SAIC's technical depth and financial strength will be a key factor in
our European marketing," Bentz said. "We also are modeling our
ownership system along the lines of SAIC's employee ownership model.
We know that the management, employees and customers of Tecsi and
Danet will benefit strongly from our associatio with SAIC."

F.E.D. Chairman, Dr. J. Robert Beyster,
is Founder, Chairman, and CEO of Science Applications International
Corporation (SAIC), a $1.9 billion, high technology corporation that
has grown under his leadership to be one of the most successful
employee-owned firms in the U.S. In 1988, Dr. Beyster was awarded
"Supporter of Entrepreneurialism" by Arthur Young and Venture
Magazine, and in 1989 he was elected to the National Academy of
Engineering.
F.E.D. Vice Chairman, Mr. Joseph Walkush,
is a Group Sector Vice President at SAIC, where he has held a variety
of financial and technical positions, including Deputy Chief Operating
Officer and Treasurer. He received an S.B. in physics and an S.M. in
nuclear engineering from Massachusetts Institute of Technology and an
M.B.A. from Stanford University, where he was an Arjay Miller scholar.
Mr. Thomas Darcy,
is Managing Partner of the San Diego office of the accounting firm
Price Waterhouse. His clients are predominantly SEC registered and
privately held high technology companies, including many successful
employee-owned firms. He serves on the Price Waterhouse National High
Technology Accounting Advisory Committee and the Business Advisory
Council at San Diego State University and the Board of the San Diego
Biocommerce Association.
Mr. Michael Higgins,
is Executive Director of the F.E.D. Prior to this, he served as Vice
President, Seminar Programs at the Aspen Institute, Executive Vice
President of the Roosevelt Center for American Policy Studies and
Corporate Vice President at SAIC. Mr. Higgins' background includes
service on the National Security Council Staff under two presidents,
and a full career in the U.S. Navy from which he is retired.
Ms. Laura Kilcrease,
is Founder and Director of the Austin Technology Incubator (ATI), an
internationally recognized facility that has successfully
commercialized technologies from research consortia and universities.
She also oversees the commercialization and enterprising activities of
the IC2 Institute, which includes the Austin Software Council, the
University of Texas Entrepreneur's Council and the Capital Network.
Dr. William Nelson,
is Chairman of the Board of Scripps Bank, as well as Chairman of the
Board and acting CEO of Scripps Institute of Medicine and Science. He
is the Founding Chair of the San Diego Martin Luther King, Jr.
Memorial Commission and the San Diego Business Committee for the Arts.
He serves on many boards, including the Greater San Diego Chamber of
Commerce, the San Diego Blood bank and the San Diego Opera, and is a
member of the Executive Committee of the National Board of the

Dr. Robert Shapiro,
is Vice President of the Progressive Policy Institute, where he
directs economic studies. He served as a principal economic advisor to
President Clinton during his presidential campaign and as the Deputy
National Issues Director and economic adviser for the Dukakis-Bentsen
presidential campaign. Dr. Shapiro was Associate Editor at U.S. News
and World Report, and served as Legislative Director and Economic
Counsel to U.S. Senator Daniel Moynihan.
Mr. Robert Vickery,
is cofounder and member of the Board of Directors of SPARTA, Inc., an
employee owned, high technology firm. In his former capacity as
Executive Vice President, he played an integral part in designing
SPARTA's unique performance-based incentives system, which ties the
distribution of stock options to specific corporate objectives. He
attributes SPARTA's continuing growth and success to ownership and
other incentives.
Dr. Mary Lindenstein Walshok,
is Associate Vice Chncellor of Extended Studies and Public Service
and Associate Adjunct Professor at the University of California, San
Diego. She is responsible for the university's continuing education
program serving over 35,000 students annually. Dr. Walshok was
instrumental in establishing the university's nationally recognized
CONNECT Program in Technology and Entrepreneurship.
Mr. Jack Wilkens,
is Director of Manufacturing for Polaroid Corporation, where he has
been employed for 19 years with responsibilities in manufacturing,
marketing, product development and quality control. He was a member of
a corporate-wide team to design and implement a Total Quality
Ownership process throughout Polaroid. He has a B.S. in chemical

Ron Bernstein, in La Jolla, rbernstein@fed.org
Ron, an Associate Director, works with companies to help them
structure equity compensation plans, has assisted Russian companies
with privatization and employee ownership, and is a frequent speaker
on equity compensation and related topics. Ron's strong financial
background includes an accounting degree and master's in taxation
followed by a 12-year career with SAIC, where he managed the $1.7
billion corporation's retirement programs department and was active in
the company's Stock Working Group.
David Binns, in Washington, dbinns@fed.org
David, an Associate Director, works with companies to help them
structure equity compensation plans, develops many of our
international initiatives, and frequently speaks and authors articles
and publications on ESOPs and other employee ownership topics. As
Executive Director of The ESOP Association for six years, David worked
closely with many ESOP companies and practitioners during the ESOP
movement's highest growth period in the mid- to late- 80s.
Dr. Joseph Blasi, at Rutgers University in New Jersey
Dr. Blasi, our Senior Research Advisor, is probably the foremost
author and researcher on employee ownership issues. Most recently, he
has been conducting extensive research on employee ownership in the
public sector. He also currently serves as advisor to the Russian
government regarding privatization, in addition to his responsbilities
as a Rutgers professor at the Institute of Management and Labor
Relations. His most recent book is The New Owners: The Mass Emergence
of Employe Ownership in Public Companies and What it Means to
American Business.

which consists of over 7,000 names. She is responsible for the

Michael Higgins, in Washington dbinns@fed.org
Michael, as Executive Director, directs all activities of the F.E.D.
and is responsible for implementing our strategic plan. Michael was
Vice President, Seminar Programs at The Aspen Institute, and continues
to direct The Aspen Institute seminar we cosponsor each year with
Polaroid Corporation. Michael has led several non-profit
organizations, was a senior manager early in the development of SAIC's
employee ownership system, and earned an M.B.A. from Harvard
University. He offers critical insight in the development of many of
our new projects.

Paige, as Project Coordinator, is responsible for business training
program curriculum development and implementation. She has a Masters
Degree in International Business Administration from the University of
San Diego and a diverse business background including training,
special events planning and coordination, finance, and database
management. Paige serves on the Board of Directors and as Treasurer of

Marnie Tobriner, in Washington, dbinns@fed.org
Marnie, as Project Coordinator, works with the F.E.D.'s Russian
programs for business training and development. Marnie is a patent
application specialist who has provided patent and trademark
consulting services to Russian clients. Before joining F.E.D. she
worked as a Project Manager at the International Trade Research Center
in Monterey, California. She received her MBA from the Monterey
Institute of International Studies and her B.A. from Colgate
University.
Eve Pierre, in Washington, epierre@fed.org
Eve is the Administrative Assistant in the Washington office and works
closely with Mary DePrizio of our La Jolla office to maintain our
mailing list database. Eve also assists with all Washington
correspondence and coordinates details for the Washington, D.C. area
breakfast workshops.
Cynthia Wright, as Administrative Assistant in the La Jolla office
assists Mary and the rest of our staff with correspondence, mailings,
breakfast workshops and any other help needed to make the office run
smoothly.
